4. Services and Client Projects

This may be documented through a quotation, proposal, statement of work, project agreement, service agreement, or another written agreement.
Where a separate written agreement exists for a project, that agreement governs the specific project relationship. If there is a conflict between these website Terms and a specific project agreement, the project agreement will govern the relevant matter to the extent permitted by applicable law.
5. Project Scope and Changes
Development projects are performed according to an agreed scope.
Requests that materially change the agreed scope may require:

- Additional third-party costs
Examples may include substantial changes to functionality, design, integrations, workflows, pages, user roles, data structures, or technical requirements.
Nikiru Digital may provide an updated quotation or change request before undertaking substantial additional work.
6. Project Payments
Project payments may be structured around milestones.
The applicable payment schedule will be communicated and agreed before or during the project.
A project may require an initial payment before development begins, followed by additional payments based on agreed milestones or deliverables.
Specific payment percentages, milestone definitions, due dates, taxes, third-party costs, and other commercial terms will be stated in the applicable quotation, proposal, invoice, or project agreement.
Nikiru Digital is not required to begin or continue work where an agreed payment is overdue, subject to the applicable project agreement.
7. Project Cancellation and Suspension
Either party may request cancellation or suspension of a project, subject to the applicable project agreement.
If a client cancels a project after work has started:
- Work already completed may remain payable.
- Approved or committed third-party costs may remain payable.
- Work performed up to the effective cancellation date may be assessed against the applicable milestone or project scope.
- Delivery of unfinished work may depend on the payment status and the terms agreed for the project.
If a client becomes unresponsive for an extended period, fails to provide required materials or approvals, or otherwise prevents reasonable progress, Nikiru Digital may pause the project.
Before pausing or closing a project for inactivity, we may attempt to contact the client using the available communication channels.
Any refund, credit, cancellation fee, or other financial adjustment will depend on the applicable project agreement, work already performed, third-party costs, and applicable law.
8. Client Responsibilities
Clients are responsible for providing information, content, approvals, credentials, access, materials, and other resources reasonably required for their project.
Clients must ensure that materials they provide to Nikiru Digital do not unlawfully infringe the rights of another person or organization.
Client-provided materials may include:
- Logos
- Images
- Text
- Videos
- Product information
- Customer data
- Documents
- Software
- API credentials
- Hosting credentials
- Domain information
- Other business materials
Clients are responsible for ensuring they have the appropriate rights and permissions to provide such materials.
Delays in providing required information, approvals, access, or feedback may affect project timelines.
9. Intellectual Property
Nikiru Digital may use its own pre-existing technology, code, frameworks, components, libraries, tools, processes, know-how, templates, development methods, and other reusable materials when providing services.
Unless otherwise agreed in writing, Nikiru Digital retains its rights in pre-existing and reusable materials.
Rights in project-specific deliverables will be determined by the applicable project agreement.
Payment for development services does not automatically transfer ownership of every underlying component, library, framework, tool, or reusable development asset used to produce a project.
Where third-party software, open-source software, frameworks, libraries, plugins, fonts, APIs, stock assets, or other third-party materials are used, those materials remain subject to their respective licenses and terms.
The client is responsible for complying with applicable third-party licenses where those obligations apply to the client's use of the relevant material.
10. Project Handover
Where a project agreement provides for transfer or delivery of project files, source code, credentials, documentation, or other deliverables, those items will be provided according to the agreed project terms.
Handover may be subject to completion of the applicable payment obligations.
Hosting, domain registration, third-party subscriptions, licenses, API accounts, email services, and other third-party services may require separate accounts or subscriptions and may remain under the client's ownership or responsibility where agreed.
11. Hosting and Deployment
Nikiru Digital may provide hosting, deployment, server configuration, domain-related assistance, or technical infrastructure services where separately agreed.
Alternatively, Nikiru Digital may deploy or configure a project on infrastructure controlled by the client or a third-party provider.
Third-party hosting and infrastructure providers operate independently.
Nikiru Digital is not responsible for outages, pricing changes, policy changes, infrastructure failures, account suspensions, data loss, security incidents, or other issues caused by third-party infrastructure providers, except to the extent responsibility is expressly accepted under a separate agreement.
12. Website Maintenance and Support
Nikiru Digital may provide maintenance and support services as a separate service.
Maintenance is not automatically included with every website or application development project unless expressly stated in the applicable agreement.
Maintenance may include services such as:

SaaS products are separate from custom development projects.
A custom development engagement does not automatically provide access to or ownership of a Nikiru Digital SaaS product unless specifically agreed.
16. Portfolio and Case Studies
Nikiru Digital may display completed projects, screenshots, technologies, descriptions, and case studies as part of its portfolio.
Our default position is that we may display completed work for portfolio and promotional purposes unless:
- The client requests that the project not be displayed;
- The applicable client agreement prohibits portfolio use;
- The project is confidential;
- Disclosure would reveal information we are not authorized to disclose.
We will not intentionally publish confidential client information merely for promotional purposes.
Project descriptions, screenshots, technical details, client names, URLs, or results may therefore be omitted, anonymized, restricted, or removed.
